These Terms of Service (“Terms”) govern your access to and use of the Glacis platform, a B2B logistics AI automation service. By using Glacis, you agree to comply with these Terms and all applicable laws. If you are using Glacis on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. Please read these Terms carefully.
Glacis provides an AI-driven logistics automation platform for business users (“Services”). Subject to these Terms, Glacis will provide you with access to the Services via the internet, which may include software tools and integrations aimed at streamlining logistics operations. Glacis may update or modify the features of the Services from time to time at its sole discretion, provided that no such modification will materially reduce the core functionality of the Services without notice. Glacis will make commercially reasonable efforts to ensure availability of the Services and may provide support during normal business hours, consistent with industry practices.
You agree to use Glacis only for lawful business purposes and in compliance with these Terms. Users must keep their account credentials secure and are responsible for all activity under their accounts. You agree to provide accurate information and cooperate with Glacis as needed for delivery of the Services (for example, by providing any necessary data or designating authorized personnel). If you become aware of any unauthorized use of your account or any security breach, you must promptly notify Glacis. You are also responsible for ensuring that all users in your organization who access Glacis are aware of and adhere to these Terms and any applicable policies.
Users of Glacis must not misuse the platform. Prohibited activities include: reverse-engineering, decompiling, or disassembling any part of the Services (except to the limited extent such restrictions are prohibited by law); attempting to circumvent security measures or to access areas or data of the platform not intended for you; and using the Services in any manner that violates any applicable law or regulation (including data privacy laws, export control laws, and intellectual property laws). You may not use Glacis to transmit malicious code, to launch denial-of-service attacks, or to engage in any activity that disrupts or interferes with the performance or integrity of the Services. Additionally, you must not resell or commercially exploit the Services without Glacis’s written consent (for example, you may not operate a service bureau or provide the Services to third parties as a part of another service). Glacis reserves the right to monitor usage and content to ensure compliance with these Terms and may remove any content or restrict any use of the Services it deems to violate the acceptable use standards.
Glacis Intellectual Property: All rights, title, and interest in and to the Glacis platform, including the software, algorithms, models, and all associated content or materials provided by Glacis, are and will remain the exclusive property of Glacis and its licensors. The Services are licensed, not sold, to you. Nothing in these Terms transfers any ownership of Glacis’s intellectual property to the user. You are granted a limited, non-exclusive, non-transferable right to access and use the Services solely for your internal business purposes, subject to these Terms.
Customer Data: You retain all rights to the data, content, or materials that you (or your authorized users) input, upload, or submit to the Glacis platform (“Customer Data”). Glacis will not acquire ownership of your Customer Data. However, by submitting or storing Customer Data in the Services, you grant Glacis a worldwide, non-exclusive, royalty-free license to use, copy, process, transmit, and display your Customer Data only as necessary to provide the Services and as otherwise permitted by our Privacy Policy. This means, for example, that Glacis may process your data to run the AI automation, generate results, or store backups, but Glacis will not use your data for unrelated purposes without your consent. You represent and warrant that you have all necessary rights in any Customer Data you provide and that such data (and Glacis’s use of it to provide the Services) will not violate any third-party rights or applicable laws.
User Content: If the platform allows you to provide feedback, suggestions, or other content (“User Content”), you grant Glacis the right to use such feedback or content for improving the Services without any obligation to you. Glacis may also remove or disable any User Content that violates these Terms or applicable law.
No Indirect Damages: To the maximum extent permitted by law, in no event will Glacis or its affiliates, suppliers, or licensors be liable for any indirect, special, incidental, consequential, or punitive damages, or for any loss of profits, revenues, business opportunity, or data, arising out of or in connection with the Services or these Terms. This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if Glacis has been advised of the possibility of such damages. Glacis provides the Services “as is” and without warranties, and you bear the risk of using it.
Liability Cap: Glacis’s total aggregate liability for any and all claims arising under or related to these Terms or the Services will not exceed the amount you have paid to Glacis for the Services in the three (3) months immediately preceding the event giving rise to the claim, or $10,000 USD, whichever is less. If applicable law does not allow the exclusion or limitation of certain damages, the above limitations may not apply to you to the extent disallowed, but in such cases Glacis’s liability will be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Glacis, its parent company, affiliates, officers, directors, employees, and agents from and against any and all losses, liabilities, damages, fines, penalties, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Services (including any content or data you submit through the platform), or (b) your violation of these Terms or of any law or regulation. This indemnification obligation means you will reimburse Glacis for any costs or damages it incurs due to claims that result from your actions or content. Glacis reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Glacis’s defense of such claim. This Section will survive any termination of this Agreement.
These Terms are effective as long as you use the Services. Either you or Glacis may terminate this agreement at any time with notice. You may terminate by ceasing all use of the Services and closing your account (if one exists). Glacis may suspend or terminate your access to the Services immediately if you violate these Terms or if your use of the Services poses a security risk or legal liability for Glacis. In some cases (for example, prolonged inactivity or non-payment of fees, if applicable), Glacis may also suspend or terminate the Services after providing notice and an opportunity to cure the issue.
Upon any termination of this agreement or suspension of your account, your right to access or use the Services will immediately cease. Glacis will handle your Customer Data in accordance with the Privacy Policy upon termination. You are advised to export or back up any Customer Data prior to termination. Any provisions of these Terms which by their nature should survive termination (such as limitations of liability, indemnification, ownership, and governing law) shall survive.
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles You agree that any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, and you consent to such jurisdiction and venue. Notwithstanding the foregoing, Glacis may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver of any term or breach of this Agreement shall be deemed a further or continuing waiver of such term or any other term. These Terms, together with the Privacy Policy (and if applicable, any separate written agreement between you or your company and Glacis), constitute the entire agreement between you and Glacis regarding the Services and supersede all prior agreements or understandings relating to its subject matter.
